Terms of service
TERMS AND CONDITIONS OF SALE AND WEBSITE USE
These Terms and Conditions of Sale and Website Use ("Terms") govern access to and use of the website, online store, products, content, and related services operated by Lonestar Integrity Technologies, LLC ("Lonestar," "we," "us," or "our").
By accessing or using our website, placing an order, accepting a quotation referencing these Terms, or purchasing or using a Lonestar product, you acknowledge that you have read and agree to these Terms and all policies incorporated into them, including our Product Safety & Use Requirements, Limited Warranty, Return & Refund Policy, and Privacy Policy.
If you are purchasing on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
1. INDUSTRIAL PRODUCTS; SAFETY REQUIREMENTS
Lonestar products are designed primarily for professional and industrial applications and are intended for use only by appropriately trained and qualified personnel.
All use of Lonestar products is subject to our Product Safety & Use Requirements, which are incorporated into these Terms.
WARNING — NOT FOR LIFTING
UNLESS A PRODUCT IS EXPRESSLY IDENTIFIED BY LONESTAR INTEGRITY TECHNOLOGIES, LLC IN WRITING AS RATED AND APPROVED FOR A PARTICULAR LIFTING APPLICATION, LONESTAR PRODUCTS ARE NOT LIFTING, HOISTING, RIGGING, FALL-PROTECTION, PERSONNEL-SUPPORT, LOAD-SUPPORT, TIE-DOWN, OR OVERHEAD-SUSPENSION DEVICES.
Lonestar products must not be used to lift, hoist, suspend, support, carry, secure, or position any person or any suspended or overhead load.
Serious bodily injury, death, and substantial property damage may result from improper or prohibited use.
No working-load limit, breaking strength, lifting capacity, rigging rating, or other load rating should be inferred from a product's size, material, appearance, construction, product description, or components unless Lonestar expressly provides such a rating in writing for that specific product and specific application.
Use of any Lonestar component with a forklift, telehandler, winch, powered equipment, or other machinery does not convert that component or the Lonestar system into rated lifting or rigging equipment.
2. USER RESPONSIBILITY
The purchaser, employer, operator, and end user are solely responsible for:
• determining whether a product is appropriate for the intended application;
• ensuring users are appropriately trained and supervised;
• inspecting products before each use;
• following all product instructions and warnings;
• maintaining adequate exclusion zones around operations;
• keeping personnel clear of pinch points, stored-energy hazards, and the line of pull or tension;
• selecting and using appropriate personal protective equipment;
• complying with applicable laws, regulations, workplace requirements, equipment-manufacturer instructions, and site-specific safety procedures; and
• determining when a product should be removed from service.
Lonestar does not control the purchaser's jobsite, equipment, procedures, operating conditions, personnel, pipeline conditions, or manner of use.
3. PIPELINE, TRAP, VESSEL, AND INDUSTRIAL EQUIPMENT USE
Before using Lonestar products in connection with a pipeline, pig trap, filter housing, vessel, launcher, receiver, or other pressurized equipment, the purchaser and user are responsible for confirming that the equipment has been made safe for the work being performed.
This may include, as applicable, isolation, depressurization, draining, purging, lockout/tagout, atmospheric testing, hazardous-material procedures, stored-energy control, and any other procedures required by the owner, operator, employer, manufacturer, facility, or applicable law.
A Lonestar product is not a substitute for proper system isolation or safe work practices.
Never rely on a Lonestar tool to restrain pressure, stored energy, a pressurized closure, moving equipment, or any load that could move unexpectedly.
4. INSPECTION AND REMOVAL FROM SERVICE
Products must be inspected before each use.
Do not use a product showing signs of damage or abnormal wear, including but not limited to:
• bending;
• cracking;
• dents or deformation affecting function;
• damaged or cracked welds;
• damaged pins or fasteners;
• excessive corrosion;
• damaged connectors;
• damaged or malfunctioning locking components;
• missing components;
• excessive wear;
• damaged wheels or support components; or
• any other condition that could affect safe operation.
If there is any doubt regarding the condition of a product, immediately discontinue use.
Contact Lonestar before attempting repair of a structural or safety-related component.
5. MODIFICATION AND UNAUTHORIZED COMPONENTS
Unless expressly approved in writing by Lonestar, products must not be:
• welded;
• drilled;
• machined;
• heated;
• cut;
• bent;
• structurally repaired;
• modified;
• altered to defeat a locking or safety feature; or
• combined with components in a manner inconsistent with Lonestar instructions.
Unauthorized modification voids any applicable warranty.
6. DOWNSTREAM WARNINGS AND INSTRUCTIONS
The purchaser is responsible for ensuring that these Terms, applicable product instructions, safety warnings, and Product Safety & Use Requirements are provided to all persons who may use, supervise, maintain, purchase, receive, or otherwise interact with the products.
Safety labels, warnings, identification markings, and instructions must not be removed, obscured, altered, or made illegible.
If a product is transferred, resold, rented, loaned, or otherwise provided to another person or organization, applicable instructions and warnings must accompany the product.
7. PRODUCT INFORMATION
We make reasonable efforts to provide accurate product descriptions, photographs, dimensions, weights, specifications, and other information.
Minor variations may occur as a result of manufacturing processes, material availability, product improvements, photography, display settings, or other factors.
Unless expressly stated otherwise, drawings, photographs, renderings, descriptions, and dimensions are provided for general product-identification purposes and are not engineering certifications or load ratings.
We may revise or discontinue products, specifications, designs, components, packaging, or features without prior notice, provided that such changes do not materially affect an already accepted order unless communicated to the purchaser.
8. ORDERS AND ACCEPTANCE
Submitting an order constitutes an offer to purchase.
Lonestar may accept or reject an order in its discretion.
An order is accepted when Lonestar confirms the order, begins performance, or ships the products, whichever occurs first.
We may cancel or limit an order because of:
• product availability;
• suspected fraud;
• pricing or listing errors;
• payment issues;
• shipping restrictions;
• legal or regulatory restrictions;
• suspected resale or export concerns; or
• other legitimate business reasons.
If we cancel an order after payment has been received, we will refund amounts paid for products that will not be supplied.
9. PRICES AND PAYMENT
Prices are stated in U.S. dollars unless otherwise indicated.
Prices may change without notice before an order is accepted.
Unless expressly stated otherwise, quoted or displayed prices do not include applicable:
• sales or use taxes;
• shipping charges;
• freight;
• insurance;
• customs charges;
• duties;
• tariffs;
• brokerage fees; or
• other governmental charges.
The purchaser is responsible for all applicable charges except taxes imposed directly upon Lonestar's income.
Payment must be made using an approved payment method.
The purchaser represents that it is authorized to use the payment method provided.
10. PURCHASE ORDERS AND CUSTOMER TERMS
Any purchase order, procurement document, vendor portal, acknowledgment, specification, or other document provided by a purchaser is accepted solely for purposes of identifying products, quantities, pricing, delivery information, and administrative details.
Any additional or different legal terms contained in a purchaser's purchase order or other document are expressly rejected and shall not modify these Terms unless Lonestar specifically agrees to those terms in a separate writing signed by an authorized representative of Lonestar.
Performance of an order does not constitute acceptance of additional or different purchaser terms.
These Terms control in the event of a conflict unless Lonestar expressly agrees otherwise in a signed writing.
11. SHIPPING AND DELIVERY
Shipping and delivery dates are estimates unless Lonestar expressly agrees in writing to a guaranteed delivery date.
Lonestar is not responsible for carrier delays or delays caused by circumstances outside its reasonable control.
Where permitted by law and unless otherwise agreed in writing, risk of loss passes according to the shipping terms stated on the applicable order, quotation, or shipment documentation.
Nothing in this section limits any cancellation or refund right that cannot legally be waived.
If we cannot ship an online order within the time promised, we will handle the delayed order in accordance with applicable law.
The purchaser should inspect shipments promptly upon receipt.
Visible shipping damage, shortages, or incorrect items should be reported to Lonestar as soon as reasonably possible and preferably within five (5) business days after delivery.
The purchaser should retain the product, packaging, photographs, and shipping documentation while a freight claim is being evaluated.
12. RETURNS AND REFUNDS
Returns are governed exclusively by the Lonestar Return & Refund Policy in effect at the time of purchase.
Unauthorized returns may be refused.
Custom, modified, special-order, or made-to-order products may be nonreturnable as described in the Return & Refund Policy.
13. LIMITED PRODUCT WARRANTY
Lonestar products are covered only by the Limited Warranty expressly published by Lonestar and in effect at the time of sale.
No employee, distributor, representative, sales agent, website statement, oral statement, email, drawing, photograph, or other communication creates a warranty unless expressly identified as a warranty and authorized in writing by Lonestar.
14. DISCLAIMER OF WARRANTIES
EXCEPT FOR ANY EXPRESS LIMITED WARRANTY PROVIDED BY LONESTAR, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "WITH ALL FAULTS."
LONESTAR EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
LONESTAR DOES NOT WARRANT THAT A PRODUCT IS SUITABLE FOR A PARTICULAR APPLICATION UNLESS LONESTAR EXPRESSLY PROVIDES SUCH WARRANTY IN WRITING FOR THAT APPLICATION.
THE PURCHASER IS RESPONSIBLE FOR DETERMINING PRODUCT SUITABILITY, COMPATIBILITY, AND SAFE USE.
Some jurisdictions do not permit certain warranty exclusions. Where such exclusions are prohibited, they apply only to the maximum extent permitted by law.
15. EXCLUSIVE WARRANTY REMEDY
Where an applicable Limited Warranty applies, Lonestar's obligation is limited, at Lonestar's option, to:
1. repair of the defective product;
2. replacement of the defective product or component; or
3. refund of the purchase price paid for the defective product.
To the maximum extent permitted by law, this remedy is the purchaser's sole and exclusive remedy for breach of the Limited Warranty.
16. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LONESTAR AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE WEBSITE, SERVICES, OR PRODUCTS.
THIS INCLUDES, WITHOUT LIMITATION:
• LOST PROFITS;
• LOST PRODUCTION;
• LOST REVENUE;
• BUSINESS INTERRUPTION;
• LOSS OF USE;
• DOWNTIME;
• DELAY COSTS;
• REPLACEMENT-EQUIPMENT COSTS;
• RENTAL COSTS;
• LOSS OF CONTRACTS;
• LOSS OF DATA; OR
• OTHER COMMERCIAL OR ECONOMIC LOSSES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LONESTAR'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PARTICULAR PRODUCT SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO LONESTAR FOR THE PRODUCT GIVING RISE TO THE CLAIM.
These limitations apply regardless of whether the claim is based on contract, warranty, tort, negligence, strict liability, statute, or another theory, and even if Lonestar has been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
17. MISUSE AND THIRD-PARTY CLAIMS
To the extent permitted by law, the purchaser agrees to defend, indemnify, and hold harmless Lonestar and its owners, officers, employees, affiliates, and agents from third-party claims, losses, liabilities, damages, costs, and reasonable attorneys' fees to the extent caused by or arising from the purchaser's or user's:
• prohibited use of a product;
• use for lifting, hoisting, rigging, personnel support, fall protection, or suspended loads;
• misuse or abuse;
• failure to follow instructions or warnings;
• failure to inspect or maintain a product;
• unauthorized modification or repair;
• removal or alteration of safety warnings;
• failure to provide warnings or instructions to subsequent users;
• failure to properly train or supervise personnel;
• violation of applicable law or workplace safety requirements; or
• negligent or intentional conduct.
This section does not require a purchaser to indemnify Lonestar for liability to the extent caused by Lonestar's own conduct where such indemnification is prohibited by applicable law.
18. PRODUCT MISUSE DOES NOT CREATE AN APPROVED APPLICATION
Lonestar's awareness that a customer has used or proposes to use a product in a particular manner does not constitute approval of that application.
Failure by Lonestar to object to a customer's use does not create a warranty, rating, certification, or representation that the use is safe or appropriate.
Only an express written approval issued by an authorized Lonestar representative may constitute approval of a particular non-standard application.
19. FORCE MAJEURE
Lonestar is not liable for delay or failure in performance resulting from circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil disturbance, labor disruptions, government action, transportation interruption, carrier failure, utility interruption, cyberattack, epidemic, pandemic, material shortages, supplier delays, or other similar events.
20. WEBSITE AND THIRD-PARTY SERVICES
Our website may rely on Shopify and other third-party providers for ecommerce, payments, shipping, analytics, communications, or other functions.
Your use of third-party services may also be subject to the applicable provider's terms and privacy policies.
Lonestar is not responsible for third-party websites, services, availability, security, or content except to the extent required by applicable law.
21. INTELLECTUAL PROPERTY
The website and its contents, including product names, photographs, drawings, designs, logos, text, graphics, videos, manuals, documentation, and other materials, are owned by or licensed to Lonestar and are protected by applicable intellectual-property laws.
No Lonestar material may be copied, reproduced, distributed, modified, republished, commercially exploited, reverse-engineered where prohibited by these Terms, or used to manufacture competing products without prior written authorization.
Nothing in these Terms transfers ownership of Lonestar intellectual property to a purchaser or website user.
22. FEEDBACK
If you voluntarily provide product suggestions, ideas, photographs, reviews, testimonials, or other feedback, you grant Lonestar a non-exclusive, worldwide, royalty-free right to use that material for legitimate business purposes, subject to applicable privacy law.
You represent that you have the right to provide the material.
23. PROHIBITED WEBSITE USE
You may not use the website:
• for unlawful purposes;
• to commit fraud;
• to interfere with website operation or security;
• to introduce malicious software;
• to improperly access another person's account or information;
• to infringe intellectual-property rights; or
• to scrape, reproduce, or commercially exploit substantial website content without permission.
24. COMPLIANCE WITH LAWS
Purchasers are responsible for complying with laws and regulations applicable to possession, export, import, resale, operation, and use of the products.
Products may not be exported, transferred, or used in violation of U.S. export-control or sanctions laws.
25. ELECTRONIC COMMUNICATIONS
You consent to receive order confirmations, invoices, notices, disclosures, policy updates, and other transaction-related communications electronically at the contact information you provide.
26. GOVERNING LAW AND VENUE
These Terms and any transaction with Lonestar shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent federal law applies.
To the extent permitted by law, any lawsuit arising from or relating to these Terms, the website, or a purchase from Lonestar shall be brought in a state or federal court having jurisdiction in or serving the county in Texas where Lonestar's principal place of business is located.
Each party consents to personal jurisdiction and venue in those courts.
27. ENTIRE AGREEMENT
These Terms, the applicable quotation or order confirmation, Product Safety & Use Requirements, Limited Warranty, Return & Refund Policy, Privacy Policy, and any written agreement signed by an authorized Lonestar representative constitute the entire agreement applicable to the transaction.
If a specifically negotiated written agreement signed by Lonestar conflicts with these Terms, the specifically negotiated agreement controls to the extent of the conflict.
28. SEVERABILITY
If any provision of these Terms is determined to be unlawful or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed, and the remaining provisions shall remain effective.
29. WAIVER
Failure by Lonestar to enforce any provision does not waive the right to enforce that provision later.
30. ASSIGNMENT
The purchaser may not assign its rights or obligations under these Terms without Lonestar's prior written consent.
Lonestar may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or other business transaction.
31. CHANGES TO THESE TERMS
We may update these Terms periodically.
The version applicable to a product purchase will generally be the version in effect when the applicable order was accepted unless otherwise required by law.
The current version will be posted on our website with an updated revision date.
